Version 2026-11-a · Effective 6 November 2026

Paywio is a trading name of Paywio Ltd, a company registered in England and Wales under company number 17564617. Registered office: Suite 11399, 5 Brayford Square, London, E1 0SG, United Kingdom. Contact: support@paywio.com.

Effective date: 6 November 2026

This Agreement is between Paywio Ltd ("Paywio", "we") and the person or business that registers a Paywio seller account ("Seller", "you"). By creating an account or listing a product you accept this Agreement, including the Self-Billing Agreement in Schedule C.

1. Definitions

  • "Product": a digital product you list on Paywio.
  • "Customer": a person who buys a Product from Paywio.
  • "Customer Price": the price of a Product excluding taxes.
  • "Fees": the amounts in Schedule A.
  • "Supplier Price": the Customer Price actually paid, less discounts, Fees and any deductions under this Agreement.
  • "Balance": the amounts Paywio owes you under this Agreement, recorded in your dashboard.

2. How the model works

2.1 Paywio is the merchant of record. Each time a Customer buys a Product, you sell that unit or licence of the Product to Paywio, and Paywio resells it to the Customer in its own name.

2.2 You grant Paywio, for every Customer sale, the right to resell the Product and to grant the Customer the licence set out in your licence terms (EULA). The amount Paywio pays you is the purchase price of the Product bought for resale (the Supplier Price). It is not a royalty or a fee for the use of intellectual property.

2.3 You propose the Customer Price; Paywio approves it and sells at that price. Paywio is responsible for the Customer contract, payment, invoicing and sales taxes.

2.4 Your Balance is a record of what Paywio owes you for Products it bought. It is not a deposit, an e-money account or a wallet. You cannot add money to it, hold funds in it or transfer it to anyone else.

2.5 You must not use Paywio to take payment for products or services not listed and approved on Paywio, or for sales you make in your own name.

3. Your account and verification

3.1 You must give accurate information and keep it up to date.

3.2 Before your first payout you must complete identity verification (KYC) and, if you are a business, business verification (KYB). We may ask for further documents at any time.

3.3 You confirm that you, your owners and your payout address are not subject to sanctions and are not located in a sanctioned territory.

3.4 You must keep your login details secure and use two-factor authentication.

4. Products

4.1 You may only list Products allowed by our Acceptable Use and Prohibited Products Policy. Every Product and every domain where you use our checkout must be approved before sale. We may refuse or remove any Product.

4.2 You warrant that each Product: (a) is yours or you have the right to sell it; (b) does not infringe anyone's rights; (c) works as described and is free from malware; (d) complies with applicable law; and (e) will be delivered or remain accessible as described.

4.3 You must answer Customer support requests about your Product within 2 business days. Paywio remains responsible to the Customer, and you must give us the help we need to meet our obligations.

4.4 Your store, product pages and any site using our checkout must show Paywio as the seller of record and link to our Terms of Sale and Refund Policy.

5. Fees

Paywio deducts the Fees in Schedule A from each sale. We may change Fees with 30 days' notice.

6. Balance, holds, levels and reserve

6.1 Each sale is credited to your pending Balance and becomes available after the hold period for your level at the time of the sale (Schedule B).

6.2 A reserve of 10% of each sale is held for 90 days and then becomes available.

6.3 Your level depends on qualifying sales as defined in Schedule B. We may lower your level, extend hold periods or increase the reserve if your dispute rate, refund rate or risk profile requires it.

7. Refunds

7.1 Paywio sells Products on an "all sales final" basis. You cannot issue refunds yourself.

7.2 Paywio will refund or give a price reduction to a Customer where the law requires it, including where a Product was not delivered, does not work or is not as described, and where a statutory cooling-off right applies to a subscription renewal. Paywio will first ask you to fix or re-deliver the Product.

7.3 Any refund, together with the related Fees, is deducted from your Balance.

8. Disputes (chargebacks)

8.1 If a Customer disputes a payment, the disputed amount and the payment processor's dispute fee are deducted from your Balance.

8.2 When a dispute is opened, your payouts are frozen: you cannot request a payout, and any open payout request that has not yet been sent is cancelled. Amounts continue to move between pending, reserve and available according to the schedule in clause 6, but none of your Balance can be paid out while the freeze lasts. The freeze lasts until none of your disputes remain open. We may lift it earlier at our discretion, for the disputes open at that time; a dispute opened afterwards freezes your payouts again.

8.3 You must provide evidence we request within 3 business days. We decide whether and how to contest a dispute.

8.4 If a dispute is decided in our favour, the deducted amount (excluding fees the processor does not return) is restored.

8.5 Excessive disputes may lead to a lower level, a higher reserve, suspension or termination.

9. Negative balance and set-off

9.1 If deductions exceed your Balance, you owe us the difference. We will set it off against future sales and you must repay any amount still outstanding within 14 days of our request.

9.2 We may set off any amount you owe us against any amount we owe you.

10. Payouts in USDT

10.1 We pay your available Balance in USDT on the network you select in your dashboard (currently TRC20 and ERC20), at a rate of 1 USDT = 1 USD unless we notify you otherwise. Minimum payout: 50 USDT. Paywio pays the network fee.

10.2 Payouts are made only to a wallet address you control, registered in your own name in your dashboard with two-factor authentication. We do not pay third parties.

10.3 Blockchain transfers cannot be reversed. You are responsible for the accuracy of your address and network. We are not liable for funds sent to the address you provided.

10.4 Each payout requires an approved KYC/KYB, a sanctions check and our review, and we may delay or refuse a payout for compliance, fraud or legal reasons, or while a payout freeze applies under clause 8.2.

10.5 You are responsible for making sure that receiving payment in USDT is lawful for you in your country and for any reporting, conversion or tax consequences there.

10.6 We may change the payout method or suspend USDT payouts if required by law or by our payment and compliance partners, with as much notice as we reasonably can.

11. Taxes

11.1 Paywio collects and pays sales taxes (such as VAT and US sales tax) on its sales to Customers.

11.2 You are responsible for your own taxes on the amounts we pay you, including income or corporate taxes and any taxes on your supplies to Paywio in your country.

11.3 If the law requires us to withhold tax from a payment to you, we will do so and give you the relevant details.

12. Personal data

12.1 Paywio is the controller of Customer personal data. We share with you the Customer data you need to deliver and support your Product (such as name, email, country and order details). You process it as an independent controller, only for those purposes and in line with data protection law, and you must not use it for unsolicited marketing unless the Customer has agreed.

12.2 We process your personal data, including verification data, as described in our Privacy Policy.

13. Suspension and termination

13.1 You may close your account at any time.

13.2 We may suspend or terminate your account immediately if you breach this Agreement, if we suspect fraud or prohibited activity, if your dispute rate is excessive, or if required by law or by our partners.

13.3 After termination we may hold your Balance for up to 120 days to cover refunds, disputes and other liabilities, and then pay the remainder to you, subject to clause 10.

14. Liability and indemnity

14.1 You will indemnify Paywio against claims, losses, fines and costs arising from your Products, your breach of this Agreement, infringement of third-party rights or your taxes.

14.2 Paywio is not liable for indirect or consequential losses, loss of profit, revenue or data. Paywio's total liability under this Agreement in any 12-month period is limited to the Fees you paid in that period.

14.3 Nothing in this Agreement limits liability for fraud, or for death or personal injury caused by negligence.

15. General

15.1 We may change this Agreement with 30 days' notice by email or in your dashboard; continuing to sell after that means you accept the change.

15.2 This Agreement is governed by the law of England and Wales, and the courts of England have exclusive jurisdiction.

Schedule A — Fees

  • Commission per sale: 7% plus $0.50, calculated on the amount paid after discounts and excluding taxes.
  • Dispute fee: the payment processor's dispute fee for each dispute (currently $15.00).
  • Payment processing fees and USDT network fees: paid by Paywio.

Schedule B — Levels, hold periods and qualifying sales

Level Name Qualifying sales Hold period
1 Thread 0+ 15 days
2 Wave 30+ 10 days
3 Band 50+ 7 days
4 Weave 100+ 5 days
5 Rosette 250+ 4 days

A qualifying sale is a live-mode sale of at least $1.00, at least 7 days old, not refunded or disputed. No more than 3 sales from the same card or Customer email count per Seller, and purchases by the Seller or its staff do not count.

The hold period of each sale is fixed at the time of the sale.

A Seller with at least 3 disputes and a dispute rate above 1% in the last 90 days moves down one level; above 2%, it moves to Level 1 and is reviewed. After moving down, a Seller cannot move up for 30 days.

Schedule C — Self-Billing Agreement

  1. You agree that Paywio will issue self-billed invoices on your behalf for all Products you supply to Paywio under this Agreement, and you will not issue your own invoices for those supplies.
  2. Paywio will issue a self-billed invoice for each payout and a monthly statement, showing: invoice number and date; your name, address and tax or VAT number (if any); Paywio's details; the period; the Products sold and quantities; gross sales, Fees and deductions; the net amount; and the payment method and transaction reference.
  3. If you are registered for VAT in the UK, each invoice will show VAT where applicable and the statement: "The VAT shown is your output tax due to HMRC." If you are not registered for VAT in the UK, invoices will not show UK VAT.
  4. You must tell us immediately if you register or deregister for VAT, change your VAT number, or transfer your business.
  5. You accept each self-billed invoice unless you raise an objection within 14 days of issue.
  6. This Self-Billing Agreement lasts 12 months from the date you accept it. We will ask you to review and renew it before it expires; you cannot receive payouts while it has expired.
  7. If your country has its own rules for self-billing, you must tell us, and we will follow them where we reasonably can.
